A Supreme Court ruling revived claims erased in the 2020 rescue. The stock lost 14.43% in a rising market. The bond principal is known; the loss to common shareholders is not.
What actually happened?
The court changed the legal position—not automatically the bank balance sheet. Two things can simultaneously be true. The 2020 loss-absorption instrument was designed to take losses in a bank crisis. And the administrator may have exercised an invalid power when writing it down. Investors must now connect a legal remedy, regulatory capital and a still-maturing bank franchise—without double-counting losses.
A ruling, not a payment order
Reuters reported the Supreme Court upheld the invalidation of the 2020 AT1 write-down on 15 October. The full signed 2026 operative order was not secured by the 5 PM cutoff. The face amount must not be described as an immediately payable cash sum.
The selloff happened against a rally
The share closed around ₹18.15, down 14.43%, while the Sensex gained 2.11%. Price comes from a dated secondary market record. That contrast documents a striking dislocation, not its precise financial cause.
The bank today is not the bank of 2020
Q1 FY27 advances reached ₹2,85,118cr, deposits ₹3,15,373cr, NIM 2.7%, PAT ₹1,071cr and CET1 14.0%. The legacy court event overlays an improving, but still sub-10% ROE, franchise.
Source and framing discipline: statements marked RF are taken from dated documents or labelled secondary market records; MS describes management’s statements; AI is MoneyMeister interpretation; FC is scenario mathematics. A shared date does not by itself establish the precise cause of a stock move.
How an invalid bond write-off can—or may not—reach ordinary equity
This is not a mechanical “₹8,415cr loss ÷ shares” story. Bond legal status, applicable contracts, possible accounting recognition, coupon economics and supervisory treatment determine the economic waterfall. A valid stress case is useful; a claimed inevitable payment is not.
Original instrument
₹8,415cr of subordinate AT1 claims had contractual loss-absorption terms.
Legal procedure
The power and timing of the administrator’s write-off were challenged.
Remedy / implementation
Reinstatement, negotiated settlement, regulatory response and coupons require operative orders and disclosures.
Equity consequence
Provision or recognition, capital ratio, dilution, funding and returns could differ sharply across remedies.
The question for shareholders is where value accumulates, where it leaks away, and what proves the model deserves a sustainable multiple. A market move is a signal to investigate—not itself proof of an operating inflection.
Beyond the headline number
The more revealing valuation question is ROE, not headline P/E. At 8.3% annualised ROE and 1.09× unadjusted P/B, upside requires higher profitability and legal clarity. A share can appear cheap after a collapse while becoming more expensive relative to a stressed equity base.
A fully illustrative ₹8,415cr charge divided by ~3,136cr shares would equal ₹2.68/share and take book value from ₹16.70 to ~₹14.02. That is an illustration of magnitude, not management guidance, booked provision or a legal conclusion.

The case—and the countercase
A useful investigation must permit the apparently negative evidence to be explained, and the optimistic claims to be falsified. The right question is what evidence would change the answer.
The argument for
- Banking recovery is observableNII +17.5%, PAT +33.7% and cost/income improved to 62.8% in Q1 FY27.
- Capital started with a cushionQ1 reported CET1 was 14.0%, before judgement-specific adjustments.
- Legal damage may differ from face amountA legal invalidation is not the same thing as immediate cash payout or CET1 deduction.
The argument against
- Material legal uncertaintySigned operative Supreme Court order not in the contemporaneous master.
- Mid-tier profitability still weakROE of ~8.3% is below leading private-bank economics; P/B rerating is not automatic.
- Capital action could diluteA settlement/provision/coupon/regulatory capital response might alter EPS and share count.
What does the share price demand?
For a bank, FY29 equity value is modelled with price-to-book, not industrial EV/EBITDA. Change FY29 book value before litigation effects, the assumed net equity adjustment, and P/B. The legal overlay is an illustrative single adjustment, not a forecast claim; avoid double-counting a legal loss in both PAT and equity.
Three possible futures. One editable equation.
The house scenario is not management guidance. Adjust assumptions and examine the annualised return versus ARDEKO’s 18% hurdle.

Four questions management must answer
- Does the operative decision reinstate instruments, mandate financial restitution, or permit further lawful resolution steps?
- Are coupon arrears applicable and when? How will the bank recognise or disclose them?
- What would CET1, Tier 1 and total capital be under every legal remedy?
- Can sustainable ROE rise sufficiently to justify a 1.2×–1.5× P/B?
Publication gate / unresolved thesis-critical evidence: Signed 15 October Supreme Court operative judgment, verified post-ruling bank account treatment, official 15 October full exchange tape; do not imply an established ₹8,415cr cash charge. A polished editorial visual is not a substitute for verified facts.
Forensic reading: the numbers below the headline
INVESTIGATIVE DESK · COMPANY-SPECIFIC EXPANDED EDITION
A legal ruling about the validity of the 2020 AT1 write-off reopened claims that had disappeared from the bank’s capital structure. The first analytical error is to treat ₹8,415 crore as an immediately payable cash bill. The second is to assume that a legal victory for noteholders has no effect on ordinary equity.

01 / How the business actually earns money
The mechanism the headline cannot explain
Claim hierarchy
AT1 is designed to absorb losses, but the legal power to trigger a write-off must be valid. The 2023 Bombay High Court found the administrator’s timing and authority defective; that is not equivalent to a general guarantee of perpetual debt principal.
Four separate economic paths
Restoration of contractual claims, coupon servicing, accounting recognition, and supervisory capital treatment are distinct questions. They can interact but must not be collapsed into a single dilution estimate.
Bank earnings machine
A deposit-funded lender is underwritten through asset yields, deposit costs, credit costs and operating efficiency. FY29 value depends on sustainable ROE, retained earnings and terminal P/B after legal adjustments—not an industrial FCF multiple.
Independent cross-check / limits of what it proves. There is no directly comparable listed-bank event that converts the disputed principal automatically into a loss for YES Bank equity. The appropriate independent check is the RBI capital-treatment framework and precedent on rescue administrator powers, not a generic sector multiple.
02 / Where the accounting and cash diverge
Reported-to-normalised operating bridge
| Metric | Observation | Interpretation and scope |
|---|---|---|
| AT1 2016 issuance | ₹3,000cr | Instrument principal, not a recognised 2026 cash payable |
| AT1 2017 issuance | ₹5,415cr | Second tranche |
| Total disputed principal | ₹8,415cr | Sum of two tranches; excludes any prospective coupon treatment |
| Q1 FY27 NII | ₹2,786cr | Company presentation; from ₹2,371cr year earlier |
| Q1 FY27 PAT | ₹1,071cr | Bank earnings context; does not net the AT1 remedy |
FY29 book value and legitimate capital classification must be independently reconciled; bank CFO-minus-capex is not the valuation denominator.

04 / Accountability and counterevidence
What management has—and has not—proved
The 2020 reconstruction promised system stability, not certainty about AT1 litigation. A subsequent legal reversal should be assessed against the final reconstruction text, administrator powers and current bank capital; a management clarification is necessary but not a substitute for the signed judgment.

| Principal amount | ₹3,000cr + ₹5,415cr | Tranche arithmetic |
| Balance-sheet effect | Scenario-dependent | Cannot assert immediate CET1 impact from 15 Oct evidence |
Disconfirming condition. Capital depletion, prolonged legal uncertainty, high funding costs or inability to compound ROE would invalidate the positive franchise case. A court remedy that materially differs from the assumed overlay would invalidate the scenario arithmetic.
05 / The shareholder equation
Annual FY27–FY29 underwriting, not an isolated target price
Inputs below start from the dated ARDEKO house model, not management guidance. Edit growth, profit margins, cash realisation and exit multiples. The FY29 return calculation uses the approximately 2.46-year interval from October 2026 to March 2029; no dividends are credited. The adjustments are transparent sensitivities, not a rebuilt three-statement DCF.

For bank book valuation, industrial FCF is deliberately not shown.
