A tech-services company with 26 consecutive quarters of revenue growth is buying scale from a business growing much more slowly. The transaction may widen its geographic and capability moat—but only if the profits and cash created exceed the capital and complexity required to buy them.

An extraordinary operating franchise faces a new capital testPersistent reported Q2 revenue of ₹4,663.9 crore (+30.3% YoY in rupees) and $487.6 million of USD revenue. It also recorded its 26th consecutive quarter of USD revenue growth. Shares closed at ₹5,741 on 16 October, down approximately 1.70%, as investors absorbed results and its acquisition plans.

Profit headlines require reconciliationReported Q2 PAT was ₹351.5 crore, down 25.4% YoY, versus management-defined operating PAT of ₹495.2 crore. The ₹143.6 crore gap includes acquisition-related adjustments, which should not be annualised but do represent real transaction economics.

The target has a different growth trajectoryNagarro’s own H1 CY26 release shows organic constant-currency revenue growth of only 2.7%, versus Persistent’s much faster legacy expansion. A merger does not automatically raise the acquired business’s growth rate to the buyer’s historic level.

    The ARDEKO central contradiction

Persistent’s Q2 USD revenue +20%, Nagarro H1 organic CC growth +2.7%, and an unsettled ~$1.25bn funding plan.

Why Did It Happen—and Who Actually Earns?

Persistent sells differentiated platform engineering, cloud/data modernisation and industry-specific software services. Its customer context and execution track record are valuable precisely because they take years to build. Nagarro adds European access and engineering capacity—but the value created by scale must be earned through contracts and cash, not simply combined in a slide. Buying a billion-euro revenue business is not equivalent to creating a billion euros of high-return incremental sales.

The financing structure matters almost as much as the target. Persistent discussed up to $1.25 billion of combined equity/debt capacity, including up to $450 million of equity. Authorised debt or bonds are not the same as funded loans, and management’s ~1.7× leverage illustration is not a completed-balance-sheet fact. Final deal cash, issue price, refinancing coupon, target liabilities and German legal restrictions determine shareholder value after closing.

The acquired-company contradictionNagarro Q2 CY26 reported only +0.6% organic constant-currency growth; its adjusted EBITDA margin reached 15.0% but unadjusted EBITDA was lower. In H1, operating cash inflow fell from €42.4m to €29.5m even as adjusted EBITDA improved. Those figures prevent us from simply attaching Persistent’s growth multiple to the acquired revenue base. MoneyMeister interpretation

The deal could improve the competitive franchise and still dilute near-term cash returns if financing, integration and dilution exceed the target’s earnings contribution. The right scorecard begins at legal close, using the full consideration and true capital employed.

    Questions management must answer

    1. What is the final all-in purchase enterprise value including acquired liabilities and completion adjustments?
    2. What is the post-close interest, minority-rights and issued-share bridge per surviving Persistent share?
    3. Will cross-sell and synergies produce cash earnings above acquisition WACC by FY29?

    What would falsify the case?

    • Final funded leverage materially above illustrative ~1.7× mix
    • Nagarro organic growth stagnates and cross-sell fails
    • Persistent equity dilution or financing cost significantly exceeds model
    • Cash cannot be upstreamed as expected / integration delays
    • FCF conversion persistently below ~60%

Publication gate / material evidence gaps: Final takeover financing and actual issued shares; Acquired balance sheet, PPA, goodwill and amortisation; Legal opinion on German upstreaming limitations; Independent integration synergies and customer overlap. No definitive claim should rest on these items without corroboration.

Forensic reading: the numbers below the headline

INVESTIGATIVE DESK · COMPANY-SPECIFIC EXPANDED EDITION

Persistent’s Q2 USD revenue grew 20.0% and its 26-quarter growth streak continued, yet reported PAT contracted 25.4%. The business story is no longer just digital-engineering compounding: the Nagarro transaction introduces purchased revenue, acquisition funding, amortisation, minority rights, and materially weaker target organic growth.

01 / How the business actually earns money

The mechanism the headline cannot explain

    Legacy earnings versus deal expenses

Reported Q2 PAT ₹351.5cr compared with company operating PAT ₹495.2cr. The ₹143.7cr gap arises from the company’s adjustment framework and cannot simply be deleted from shareholder economics; transaction-related expenditure still represents a real acquisition cost.

    Target is a different business

Nagarro H1 CY26 revenue €500.5m was +0.3% YoY in euros, +4.2% CC but only +2.7% organic CC. Adjusted EBITDA improved to 13.8%, while CFO fell from €42.4m to €29.5m and gross debt was ~€310.5m.

    Tender control is not closing

Persistent said it secured about 94.04% of voting capital after the tender period, but closing is expected by Q1 CY27 and minority squeeze-out remains subject to process. Forecasting a full FY27 acquired year would overstate recognised earnings.

Independent cross-check / limits of what it proves. Nagarro’s own August 14 statement provides genuine independent target-company evidence: 2.7% organic H1 constant-currency growth, €69.1m H1 adjusted EBITDA and €29.5m operating inflow. This is stronger corroboration than merely repeating the acquirer’s synergy slides. The target’s DSO remained ~86 days and loans were €310.5m.

    What management has—and has not—proved

Acquirer commentary envisages a larger AI-powered digital-engineering franchise. The value test is the incremental post-tax cash operating profit generated by Nagarro plus realised synergies, net of interest, PPA amortisation, integration cost and capital put into purchased goodwill. Growth inherited from acquisition cannot be relabelled legacy organic expansion.
