Orders surged. Revenue grew. Yet Cyient DLM finished the 16 October session 12.9% lower. The hard part of the story is not choosing between growth and a selloff; it is determining what remains after the material bill, workforce investment and working-capital absorption are paid.
The market’s reaction is unusually forcefulShares closed at ₹897.25 on 16 October, down 12.90%, on roughly 3.83 million shares in the secondary market record. The 15 October earnings disclosures preceded the selloff. The price and volume should still be reconciled to exchange bhavcopy before production.
The revenue number was not the disappointmentQ2 FY27 sales advanced 26.5% to ₹393.1 crore. EBITDA, however, increased only 9.5% to ₹34.2 crore and the margin slipped from 10.0% to 8.7%. Bigger shipments did not translate into proportionate operating profit.
Reported net profit is not the right anchorQuarterly reported PAT of ₹34.0 crore included an ₹18.2 crore fair-value earnout gain. The company’s normalised PAT was ₹15.8 crore. The comparative Q2 FY26 also included an earnout credit, so both periods need adjustment before calculating underlying growth.
Order book ₹2,813.7cr versus H1 operating cash flow ₹14.75cr; material intensity worsened while booked revenue grew.

Why Did It Happen—and Who Actually Earns?
Cyient DLM sits inside the high-reliability electronics supply chain: approved aerospace platforms, industrial controls, MedTech and defence electronics. Qualification, traceability and low-defect manufacturing can make a supplier difficult to replace. The complication is that components must often be purchased months before product acceptance. A manufacturer can enjoy a long-lived customer programme and still finance most of its customer’s inventory.

Management is pushing beyond PCB assembly into integrated box-build and build-to-specification work. Box build grew 86% YoY, and aerospace represents 47% of the latest sales mix. Yet neither that growth rate nor approved-vendor status tells us the incremental gross margin or the cash tied up per programme. The customer may retain pricing power while the vendor funds components, testing and warranty reserves.
Price vs News Timeline
What preceded the market reaction?
FY26 sales contracted roughly 17% as an earlier major order completed. Programme sequencing can dominate reported growth.
Management discussed quoting and bid activity, but not independently quantified cash returns.
Revenue +26.5%; EBITDA +9.5%; material ratio worsened; ₹18.2cr earnout gain supported PAT.
₹897.25 close, −12.90% on ~3.83m recorded volume; final market data confirmation outstanding.

The ambition outruns realised resultsManagement’s illustrative FY27–29 11–13% EBITDA band compares with only 8.7% in Q2; margin quality of new programmes is not published.
At the closing price, the house case requires a substantial earnings increase just to justify today’s valuation. More orders without improving cash returns can enlarge the balance sheet rather than create shareholder value. The decisive evidence will be order-to-cash conversion, gross margin and return on incremental capital.

Based on 897.25 reference share price and a 3-year annualised horizon. FY29 PAT = (operating revenue × operating margin − company-specific depreciation and net financing) × (1 − modelled tax). EPS uses a fixed assumed share count; dilution, timing, capital actions and dividends can alter outcomes. For Tech Mahindra EPS and share price use the pre-bonus basis. *Market close and volume from secondary trading records; official exchange bhavcopy reconciliation pending.

Questions management must answer
- What percentage of the ₹2,814 crore book is firm, cancellable or customer-funded?
- How much of the new aerospace and box-build revenue generates gross profit after warranty, engineering and component risk?
- Can inventory days improve without customer delivery disruption or supplier finance?
What would falsify the case?
- CFO remains near zero while inventory days stay ~150+
- Materials exceed ~60% of revenue persistently without gross-margin recovery
- New orders require underpriced capital or equity-funded inventories
- Earnout reversals continue to dominate statutory earnings optics
Publication gate / material evidence gaps: Exchange-verified closing volume and delivery; Customer-specific programme margins and funded backlog; Independent customer and supplier corroboration; Altek purchase-price-to-cash-ROIC bridge. No definitive claim should rest on these items without corroboration.
Forensic reading: the numbers below the headline
INVESTIGATIVE DESK · COMPANY-SPECIFIC EXPANDED EDITION
The record ₹2,813.7cr order book is real, but it is neither recognised revenue nor distributable cash. Q2 revenue rose 26.5% while EBITDA rose only 9.5%; H1 CFO fell to ₹14.75cr, although Q2-specific free cash flow was positive. Those different clocks must remain separate: the balance-sheet critique is about repeatable capital intensity, not an assertion that every quarter burns cash.

01 / How the business actually earns money
The mechanism the headline cannot explain
Qualification precedes margin
High-reliability EMS customers require engineering qualification, certifications and long production validation. The value capture depends on design participation, programme concentration, procurement terms, yield and contractual working-capital recovery.
Reported profit bridge
Reported Q2 PAT ₹34.0cr contained an ₹18.2cr earnout fair-value gain. Normalised PAT ₹15.82cr is company-adjusted, not a new statutory earnings number. Prior-year one-offs also affect simple YoY statutory comparisons.
Working capital is the gate
H1 CFO ₹14.75cr versus ₹139.67cr prior year, with cash capex ~₹14.34cr, leaves roughly ₹0.4cr CFO-less-capex proxy. The prior comparison enjoyed collections, while the October press release states Q2 FCF +₹17.2cr; it is incorrect to present H1 CFO weakness as Q2 FCF negativity.
Independent cross-check / limits of what it proves. Independent verification needs programme-level customer qualification and comparison against electronics peers such as Avalon and Kaynes on common service content and capital intensity. None of those programme-level contracts is independently disclosed in sufficient detail to prove above-average order margins. Treat the sector tailwind as demand context, not cash-flow proof.
02 / Where the accounting and cash diverge
Reported-to-normalised operating bridge
| Metric | Observation | Interpretation and scope |
|---|---|---|
| Q2 revenue | ₹393.1cr | +26.5% YoY |
| Q2 EBITDA | ₹34.2cr | +9.5%; 8.7% margin |
| Reported Q2 PAT | ₹34.0cr | Includes ₹18.2cr reversal |
| Company-normalised Q2 PAT | ₹15.82cr | Reported less earnout reversal |
| H1 operating cash | ₹14.75cr | ₹139.67cr prior; periods affected by WC release |
| H1 CFO less capex proxy | ~₹0.4cr | Not the positive Q2-specific FCF disclosed by company |
| Order book | ₹2,813.7cr | Book-to-bill 1.6x; execution and profitability not yet established |
The FY29 forecast assumes 12% EBITDA margin and ~65% FCF/PAT conversion; neither is a reported company target. Using FY29 EPS ₹18.61 and 35× P/E produces ~₹651, below the October reference price.
03 / The dated event tape
Price, news and what came first
Market reference: ₹897.25 · −12.90% · ~3.83m shares (secondary). Source: dated company or market evidence ↗. The timeline below does not invent an unverified daily price/volume series, abnormal delivery statistic or minute-level causal attribution.
Revenue interruption and acquisition integration — Historical earnings baseline
Q2 results and 8.7% EBITDA margin — Company presentation; Q2 FCF reported positive
Stock −12.90% — Secondary trade record; day-file confirmation pending
Cash conversion weaker versus abnormal prior year — Half-year statutory cash data—not a quarter-only claim
04 / Accountability and counterevidence
What management has—and has not—proved
Management highlighted Aerospace, Industrial, Defence and Medical momentum and new areas including AI infrastructure and semiconductor equipment. These are strategic intentions until revenues, contribution margin and incremental cash yield are disclosed. Altek acquired sales and organic programme wins must be separately identified.
| Test | Evidence status | Necessary next proof |
|---|---|---|
| Revenue, EBITDA, earnings | Primary company Q2 release | Q2 company-defined adjustments separated |
| Order book and book-to-bill | Primary presentation | Order timing/margins absent |
| H1 cash flow | Statutory-format interim statements | WC segmentation and customer advances require more |
| Close and volume | Dated secondary source | Exchange bhavcopy/delivery ratio pending |
Disconfirming condition. H1 working-capital intensity recurs without customer funding, Altek acquired growth is mistaken for organic momentum, EBITDA margin cannot re-expand or incremental capital earns less than its cost.
05 / The shareholder equation
Annual FY27–FY29 underwriting, not an isolated target price
Inputs below start from the dated ARDEKO house model, not management guidance. Edit growth, profit margins, cash realisation and exit multiples. The FY29 return calculation uses the approximately 2.46-year interval from October 2026 to March 2029; no dividends are credited. The adjustments are transparent sensitivities, not a rebuilt three-statement DCF.

Risk: The cash-realisation input is linked to projected FCF, while exit prices use the selected earnings/book multiple. A high P/E alongside low FCF conversion should be treated as a thesis-quality warning, not silently assigned a lower mathematical multiple. For bank book valuation, industrial FCF is deliberately not shown.
